End-User License Agreement (EULA)

PLEASE READ THIS END-USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE INSTALLING OR USING THE APPLICATION.

This Agreement is a legally binding contract between you, the individual or entity ("Licensee" or "You") using the Trail mobile application (the "Application"), and Trail Cloud Innovation Services Pvt Ltd, ("Trail," "Licensor," "We," "Our," or "Us").

By downloading, installing, or using the Application, you (a) acknowledge that you have read and understand this Agreement, (b) represent that you are of legal age to enter into a binding agreement, and (c) accept this Agreement and agree that you are legally bound by its terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE APPLICATION AND DELETE IT FROM YOUR MOBILE DEVICE.

This Agreement supplements the terms of any Master Subscription Agreement, Services Agreement, or other written agreement between your organization and the Licensor concerning your use of our Products and services (the "Main Agreement"). To the extent of any conflict, the terms of the Main Agreement shall prevail.

1. License Grant

Subject to the terms and conditions of this Agreement, the Main Agreement, and any applicable payment, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

  • (a) Download, install, and use the Application solely for your internal business purposes as an authorized user of our Products and services; and
  • (b) Access and use the data and services made available through the Application, strictly in accordance with this Agreement and the Main Agreement.

2. License Restrictions

You shall not:

  • (a) Copy the Application, except as expressly permitted by this license;
  • (b) Modify, translate, adapt, or create derivative works of the Application;
  • (c) Reverse engineer, decompile, or attempt to derive the source code of the Application;
  • (d) Remove, alter, or obscure any proprietary rights notices from the Application;
  • (e) Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Application or its functionality to any third party;
  • (f) Use the Application in any manner that is illegal or unauthorized, or that violates the intellectual property rights of the Licensor or any third party;
  • (g) Bypass or circumvent any security features or access controls of the Application or Trail’s underlying features, capabilities or services; or
  • (h) Use the Application to store, process, or transmit any data that is not intended to be stored in the Application, including but not limited to any data that is prohibited by the Main Agreement.

3. Data Privacy and Security

You acknowledge that when you use the Application, we may collect and use information about your device, system, and use of the Application, as described in the Licensor’s Privacy Policy. The Privacy Policy is an integral part of this Agreement and can be accessed at: Privacy Policy.

You understand and agree that:

  • (a) You are responsible for all data you input into the Application, and all such data is governed by the terms of the Main Agreement.
  • (b) We will process and store your data in compliance with the Privacy Policy and the Main Agreement.
  • (c) You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4. Intellectual Property Rights

You acknowledge and agree that the Application is provided under a license, and is not sold to you. The Licensor and its licensors own all right, title, and interest in and to the Application, including all intellectual property rights therein. You do not acquire any ownership interest in the Application under this Agreement.

5. Disclaimer of Warranties

THE APPLICATION IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE LICENSOR SHALL CREATE A WARRANTY.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE APPLICATION, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Indemnification

You agree to indemnify, defend, and hold harmless the Licensor and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or in connection with your use of the Application or your violation of this Agreement.

8. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and delete all copies from your device. The Licensor may also terminate this Agreement and your access to the Application at any time if your license to Trail products and services is terminated or suspended.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Tamil Nadu/India, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Chennai, Tamil Nadu, and you consent to the personal jurisdiction of such courts.

10. Updates

The Company may update this EULA from time to time. We will notify you of any changes by posting the new EULA on this page.
