1. Agreement to Terms

By accessing our website (https://trail.do) or using our Services, you agree to be bound by these Terms of Service ("Terms"). These Terms govern your access to and use of the Trail AI-powered CRM platform (the "Services") provided by Trail Cloud Innovation Services Pvt. Ltd. ("Trail," "we," "us," or "our"). If you do not agree to these Terms, you may not access or use our Services.

2. The Services

Trail is a cloud-based Pharma CRM. We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services in accordance with these Terms and your specific subscription plan. You agree not to misuse the Services or help anyone else to do so.

3. Your Account and Responsibilities

You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to provide us with accurate and complete information upon registration and to keep such information up to date. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Customer Data

You retain all rights and ownership of your data ("Customer Data") that you upload to the Services. We do not claim any ownership rights to your Customer Data. You are solely responsible for the accuracy, legality, and content of your Customer Data. You represent and warrant that you have all necessary rights to upload the Customer Data to the Services and that doing so does not violate any applicable laws or rights of any third party. Our use of Customer Data is governed by our Privacy Policy and the Data Processing Agreement (DPA) with our customers.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable local, state, national, or international law, including but not limited to regulations promulgated by the U.S. Food and Drug Administration, the European Medicines Agency, and other similar regulatory bodies.
• Upload or transmit any data that is unlawful, harmful, or infringes on the intellectual property rights of others.
• Attempt to reverse engineer, decompile, or otherwise discover the source code of the Services.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.

6. Subscription Fees and Payment

Access to the Services is provided on a subscription basis. Fees are billed in advance on a recurring basis as specified in your subscription plan. All fees are non-refundable except as required by law or as specified in your agreement with us.

7. Intellectual Property

All rights, title, and interest in and to the Services (excluding Customer Data) are and will remain the exclusive property of Trail and its licensors. The Services are protected by copyright, trademark, and other laws of both India and foreign countries.

8. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease.

9. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Trail makes no warranties, express or implied, and hereby disclaims all other warranties, including without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

In no event shall Trail, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect.
